qihuaai.com ("Platform", "we", "us") is operated by Stellar Byte Tech Team (StellarByte), a corporation duly incorporated under the laws of the Province of British Columbia, Canada, with registered office in Vancouver and represented by Harrison Ming. The Platform is a creator-oriented AI workbench that consolidates text, image, video, audio and avatar generation behind a single API and UI, billed in a unified credits unit.

Currently available services include gpt-image-2 general image generation, the merchandise visual workflow (background swap, white-background shots, on-model fittings), and Sora 2 / Sora 2 Pro / Runway gen4 video generation. Avatars, music generation, video translation and other modalities will be rolled out in subsequent phases as published on the pricing page and platform announcements.

By registering an account, accessing the website or invoking any API, you confirm that you have read, understood and agreed to be bound by these Terms of Service together with the referenced Privacy Policy, Refund Policy and Acceptable Use Policy (collectively, the "Agreement"). If you do not agree to any provision of the Agreement, you must immediately stop using the Platform.

Individuals under the age of 13 are not permitted to register or use the Platform. Minors aged 13-18 must use the Platform only with their guardian's consent and supervision; guardians are jointly liable for the minor's activities on the Platform.

You must provide true, accurate and complete information when registering. You are responsible for all activity that occurs under your account, including prompts, generated outputs, billing records and third-party invocations. You may not transfer, sell, lease, pledge or share your account, API keys or login credentials with any third party; doing so will result in immediate account suspension and may give rise to legal liability.

If you suspect unauthorized access to your account, you must immediately notify abuse@qihuaai.com and preserve relevant evidence. We will assist with identity verification and account disposition as appropriate. Until we have completed verification and taken action, you bear all losses arising from account compromise.

We generally permit only one production account per natural person or corporate entity. Operating multiple accounts to harvest top-up bonuses, evade bans, or launder banned accounts constitutes a material violation and will result in immediate termination of all related accounts.

Core capabilities include: (a) general image generation via gpt-image-2; (b) merchandise visual workflows (background swap, white-background, on-model fittings) orchestrated on top of gpt-image-2; and (c) video generation via Sora 2 / Sora 2 Pro / Runway gen4_turbo / gen4_pro. Upstream models are operated by licensed providers such as OpenAI and Runway; the Platform is responsible for unified metering, billing, audit and output hosting.

Planned future capabilities include but are not limited to ElevenLabs and Suno audio generation, HeyGen avatar generation and a Whisper + LLM + TTS + subtitle-burn video translation pipeline. Launch timing follows platform announcements and the pricing page; we reserve the right to adjust, postpone or cancel any model launch based on upstream policy, commercial review or compliance requirements.

Subject to applicable law, the copyright and ownership of prompts, uploaded materials (images, reference videos, brand assets, etc.) and generated outputs (collectively, "User Content") that you input or produce on the Platform belong to you. The Platform does not claim ownership.

For the purposes of providing the service, billing and audit, content moderation, output delivery, dispute resolution and product improvement, you grant the Platform a worldwide, royalty-free, non-exclusive, sublicensable, limited license to reproduce, store, transmit, display and perform de-identified analysis on your User Content to the extent necessary. This license terminates automatically upon account deletion and expiry of the legally mandated retention period.

You are solely responsible for the content you upload and generate. You represent and warrant that: (i) you own or have obtained written authorization from the rights holders for any uploaded materials; (ii) your prompts and generated outputs do not infringe any third party's intellectual property, portrait rights, reputation or other lawful rights; (iii) you will comply with the Acceptable Use Policy; and (iv) you will assess for yourself the commercial compliance of generated content, including without limitation advertising law, anti-unfair-competition law and applicable content moderation regulations.

In accordance with the PRC Provisions on the Administration of Deep Synthesis Internet Services and the Interim Measures for the Management of Generative AI Services, as well as global trends in AIGC labeling, the Platform applies visible watermarks and/or implicit metadata identifiers (including C2PA / SynthID technical paths) to all video outputs and certain image outputs.

You may not remove, cover, crop, blur, distort or otherwise tamper with watermarks or identifiers applied by the Platform. If your downstream distribution requires a watermark-free version (for example, derivative creation or licensing collaboration), you must obtain prior written permission. Unauthorized removal of watermarks constitutes a violation of this Agreement, in which case we will immediately suspend the account and reserve the right to pursue claims for infringement and unfair competition.

For outputs that already carry upstream provider metadata (such as the C2PA credentials embedded by OpenAI in Sora videos), you are likewise prohibited from tampering with or stripping that metadata.

The Platform's website design, brand assets, source code, documentation, UI/UX assets and unpublished technical materials are owned by Stellar Byte Tech Team or its licensors and are protected by the Copyright Act of Canada, the Trademarks Act, and applicable international treaties.

The Platform has entered into commercial API agreements with upstream providers including OpenAI (gpt-image-2, Sora 2) and Runway (gen4_turbo, gen4_pro, etc.), and through this Agreement sublicenses to you the right to use generated outputs for personal and commercial purposes (including advertising, social media, e-commerce detail pages) subject to this Agreement, the Acceptable Use Policy and the respective upstream terms. The specific commercial use boundaries follow the upstream provider terms.

If your use case falls within sensitive industries (finance, healthcare, government, education) or involves large-scale distribution (such as broadcast advertising or print), we recommend that you consult legal counsel and obtain extended licensing directly from upstream providers.

You may not use the Platform for any conduct that violates the Acceptable Use Policy or the laws of your jurisdiction. The full list of prohibited conduct is set out in the

We reserve the right to address violating invocations or accounts through measures including but not limited to real-time blocking, removal of generated outputs, rate limiting, warnings, suspension, permanent ban and disclosure of user information to law enforcement. The escalation ladder is described in Section 6 of the AUP.

The Platform uses a unified credits accounting unit. 1 credit = USD 0.001 (illustrative; the official rate is published on the Platform). You may top up credits via Stripe (credit/debit cards), NowPayments (USDT), or WeChat Pay / Alipay (where available). Top-up bonuses and plan-unlock rules are governed by the recharge page and pricing page disclosures.

Each model invocation is pre-authorized (hold) from your balance based on upstream cost plus platform markup, and settled (settle) on completion against actual consumption. Failed invocations (upstream errors, content moderation rejections, timeouts) are automatically refunded. We reserve the right to impose per-account, per-IP and per-API-key rate limits, concurrency limits and per-invocation credits caps. The current limits are governed by the pricing page (Lite / Pro / Team / Enterprise). High-consumption scenarios should contact sales@qihuaai.com for expansion.

We reserve the right to manually review or directly reject any request suspected of abuse, attack, moderation evasion or anomalous cost (for example a single video invocation exceeding USD 50).

We will use commercially reasonable efforts to maintain 24x7 availability but do not guarantee 100% uptime. Planned maintenance is generally notified at least 24 hours in advance via in-app announcement, Discord or email; emergency maintenance and upstream outages may occur without prior notice.

For service interruptions caused by upstream force majeure (such as regional OpenAI / Runway outages), third-party network failures or infrastructure provider incidents, the Platform shall not be liable for direct damages but will issue prorated credits compensation; see Section 6 of the Refund Policy for details.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any express or implied warranty as to the stability, accuracy, security, availability or commercial compliance of upstream models. AI-generated content may contain factual errors, bias, offensive or unlawful material; you must independently evaluate and verify it.

To the maximum extent permitted by applicable law, the Platform shall not be liable for any indirect, incidental, special, punitive or consequential damages (including but not limited to business interruption, data loss, goodwill damage, lost opportunities or third-party claims). You are solely responsible for any downstream dispute arising from your use of AI-generated content (e.g. copyright litigation, advertising-law penalties, portrait-right claims).

Regardless of the cause of action (contract, tort, strict liability or otherwise), the Platform's aggregate liability to you in any 12-month period shall not exceed the amount you have actually paid to the Platform in the 12 months preceding the dispute.

This Agreement is governed by the laws of the Province of British Columbia, Canada, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to this Agreement or the Platform shall first be addressed through good-faith negotiation.

Failing amicable resolution, the dispute shall be submitted to arbitration seated in Vancouver, British Columbia, conducted under the British Columbia International Commercial Arbitration Act (BCICAA), with English as the language of arbitration. PRC users may elect bilingual Chinese-English arbitration. The seat, institution and arbitrator selection follow the parties' arbitration agreement. Where one party refuses arbitration, the other party may submit the dispute to the courts of competent jurisdiction in Vancouver.

We may modify this Agreement from time to time. Material changes (such as governing law, limitation of liability, refund rules) will be notified at least 30 days in advance via in-app announcement, email or Discord. Non-material changes (typo corrections, alignment with new law) take effect upon publication.

Continued use of the Platform after the effective date constitutes acceptance of the revised Agreement. If you disagree with the revisions, you must stop using the Platform before the effective date and request account deletion; remaining credits are handled per the Refund Policy.

You may request account deletion at any time through the dashboard; we will verify and process the request within 7 business days. Remaining credits are handled per the Refund Policy.

We may immediately suspend or terminate your account in the following circumstances: (a) you breach this Agreement or the Acceptable Use Policy; (b) you materially impair Platform stability or other users' experience; (c) compliance with applicable law; or (d) your account has been inactive for 12 consecutive months (we will provide 30 days' email notice).

Upon termination, Sections 5, 6, 7, 12, 13 and any provisions that by their nature should survive shall continue to apply.
